ER-Telecom acquires St. Petersburg operator
ER-Telecom Holding has closed the acquisition of 100 percent in the local cable operator TKS Neva from Akado Group. The company’s market share on pay TV market in St. Petersburg will grow by more than 30%. Costumers of both companies will have access to advanced telecommunications solutions of Holding. The consolidation of telecommunications market of Northern Capital and merger with TKS Neva will expand the capabilities of ER-Telecom to launch a new joint products and services.

ER-Telecom strengthens its positions in Yekaterinburg
ER-Telecom Holding and AKADO Group of Companies announce the completion of the acquisition of 100% of the AKADO Group asset — JSC AKADO-Yekaterinburg. The merger will lead to strengthening of ER-Telecom's positions in broadband and cable TV market in Yekaterinburg. The scale of ER-Telecom's business in Ural capital will grow more than 1.5 times. Clients of the combined operator, in turn, will have access to a wide range of high-quality services and products of Holding.

Vladimir Putin has visited the exhibition of IT-technologies in ER-Telecom Holding
On September 8, Russian President Vladimir Putin visited, during his trip to Perm, ER-Telecom office and met with the representatives of IT-cluster. There, he was told of the development of public Wi-Fi network in Moscow and Saint-Petersburg, learnt about the latest developments in the area of the Internet of Things and saw the capabilities of high-speed Internet. Later, at a roundtable on “Digital Economy”, Andrei Kuziaev, the President of JSC ER-Telecom Holding, told of his plans to create a federal IoT-network in the 60 largest cities of Russia. The President supported this initiative and noted that the development of the Internet of Things means the creation of a new industry.

ER-Telecom extends credit line with VTB
During the St. Petersburg International Economic Forum (SPIEF) ER-Telecom Holding has signed a term sheet covering its credit line with VTB. The size of the credit line has been raised to RUB 45 billion, and the debt term extended to seven years. The increased credit line will be allow ER-Telecom to refinance current debt, as well as to maintain stable liquidity and finance the company's growth strategy, which involves doubling the business in 5 years through the achieving leadership positions in each local market with new products, organic growth and M&A deals.

ER-Telecom and St. Petersburg City Administration have consolidated their intentions for the development of telecommunications
During the 21st St. Petersburg International Economic Forum (SPIEF) ER-Telecom Holding and St. Petersburg City Administration, represented by Governor Georgy Poltavchenko, signed an agreement on intentions. The agreement on strategic partnership reinforces the parties' intentions to develop the city's telecommunications infrastructure, which will benefit the citizens and guests of the Northern capital. The parties plan to develop cooperation programs, road maps, and organize working groups to address important issues.

ER-Telecom has placed a third bond issue
ER-Telecom Holding announced the completion of the third issue of PBO-03 bonds for 3 billion RUR with a maturity of 3,5 years. As a result of book-building the coupon rate is 10.65%, which is 0,2% lower than the coupon rate for the second bond issue placed in December 2016. The issue was organized by VTB Capital, Raiffeisenbank, Rosbank and Alfa-bank. The placement agent is VTB Capital.

ER-Telecom announces its financial and operating results for 2016
By the end of 2016 ER-Telecom holding became the fastest growing telecommunications operator in Russia. In 2016, ER-Telecom demonstrated steady and consistent growth and confirmed its earlier plans in terms of revenue, which has increased by 27% compared to the same period of last year reaching RUB 28 208 million. EBITDA has increased by 9% compared to the same period last year up to RUB 8 187 million. Detailed information is provided in the section «For investors».

ER-Telecom enters the leading position in Novosibirsk
ER-Telecom has completed the acquisition of 100% of Novotelecom, the largest player at Novosibirsk telecom market. The merged company will take a leading position at Novosibirsk broadband internet access and pay TV markets. Novotelecom will remain a separate legal entity and will continue to operate under its own brand «Electronic City». To meet the growing demand from consumers, R&D resources of the companies will be combined to create new innovative product and technology solutions that Novosibirsk will be able to test among the first.

ER-Telecom launches Wi-Fi network in St. Petersburg
For new year holidays for residents of St. Petersburg was launched a large-scale Wi-Fi network covering several areas of the city — the entire Nevsky Prospekt, a large part of the Central district, virtually all of Petrograd Island, the Eastern part of Vasilievsky Island and part of the Aptekarsky Island. The operator has launched more than 320 hotspots with a 120 metre radius each, which cover more than 3.5 кm2. In the future, the free Wi-Fi zone in the city will be expanded to 10 кm2. The speed of Internet access for each user is at least 1 Mbps. ER-Telecom Holding is deploying the network under the state contract.

Moody's affirms ER-Telecom at B2, changes outlook to positive
Moody’s Investors Service (“Moody’s”) has today affirmed the corporate family rating (CFR) of ER-Telecom Holding at B2 and its probability of default (PDR) rating at B2-PD. Concurrently, the agency changed the outlook on the ratings to positive from stable. The positive outlook reflects Moody's view that the company's ratings are strongly positioned in the current rating category and have a potential for an upgrade in the next 12-18 months.

ER-Telecom has placed a second bond issue
ER-Telecom Holding announced the completion of the second issue of PBO-02 bonds for 5 billion RUR with a maturity of 5 years. The formation of the book bids was held on November 30, 2016. The coupon rate has been defined at the level of 10.85% per annum, which is almost 2% lower than the coupon rate for the debut bond issue placed in July 2016. The issue was organized by Gazprombank. The placement agent is VTB Capital.

Sergey Polyakov was appointed Interim Deputy General Director — Head of North-Western Macro-Region since December 6, 2016. Sergey held the position of Technical Director of «Perspektiva» from January 1, 2015, also performed the duties of Deputy Executive Director for B2C. Sergey Polyakov works in ER-Telecom Holding since 2009, in industry — since 2005. In 2005 Polyakov S.S. graduated from Perm State Technical University, majoring in Design and Technology of Radio-Electronic Facilities.

In the third quarter of 2016, ER-Telecom demonstrated steady and consistent growth and confirmed its earlier plans in terms of revenue, which, after 9 months, has increased by 24.7% compared to the same period of last year reaching RUB 20,534 million. Over the 9-month period, EBITDA has increased by 6% compared to the same period last year up to RUB 6,218 million. Detailed information is provided in the section “For investors”.

A free city Wifi-network was launched in Moscow
In honor of the Moscow City Day, 200 wireless access points to free internet were launched within the Boulevard Ring. The project "City WiFi» implies 1100 hotspots to be installed by the beginning of 2017. ER-Telecom Holding is deploying the network under the state contract from Department of IT of Moscow. In the future the company plans to expand the Moscow case to the whole country.

ER-Telecom strengthens its positions in St Petersburg and Ryazan
ER-Telecom has completed the acquisition of 100% of LLC West Call SPb with assets in St Petersburg, Leningrad oblast and two telecom companies in Ryazan. The acquired companies will continue working as planned under their own brands. The merger will lead to the strengthening of the holding position in these cities.

JSC “ER-Telecom Holding” announced the completion of the debut issue of PBO-01 bonds for 3 billion RUR with a maturity of 3 years. As a result of book-building the coupon rate is 12.75% per annum. All groups of investors participated in the issue, such as banking community, management companies and investment insurance companies. The issue was organized by VTB Capital and Raiffeisenbank. The placement agent is VTB Capital. The obtained financing will be aimed at implementing of business strategy of expansion by means of both organic growth and M&A.

During the St. Petersburg International Economic Forum (SPIEF) ER-Telecom Holding and VTB signed a supplementary agreement, under the current loan agreement totaling RUB 27 billion, to extend the loan limit availability period till the end of 2016.

Dom.ru is entering into the cellular market
In partnership with the leading mobile operators in Russia Dom.ru Telecom Operator is launching a pilot project on rendering mobile virtual network services. The company plans to develop
a new business model in all 56 cities of the operator's presence. The new service package Quadro Play allows customers
to significantly reduce their costs for the received services.
The pilot project was launched in March in Kirov. The subscribers may enable the service plan «Dom.ru Mobile 1», which is supplied together with wired telecommunication services.

B2B-operator Enforta became a part of ER-Telecom Holding
Leading independent Russian telecom services provider ER-Telecom and national telecommunication operator Enforta have completed the deal, as a result of which Enforta became a part of ER-Telecom Holding. Enforta remains a legally independent company and will continue to work in a planned mode under its brand. Joint activities ER-Telecom and Enforta will provide its customers a wide range of high quality services, increase operational efficiency, ensure the realization of common innovation projects and the development of business lines such as Wi-Fi technologies and M2M solutions.
